Transforming secure communication - Verji Tech AS.
An AI-driven communication platform created to revolutionise secure messaging for enterprises and regulated industries - how TGC Capital Partners is embedded in the build alongside Verji Tech AS under a written operating thesis.
The operating problem
Enterprise communication in regulated industries has spent two decades stuck between two unworkable options: consumer-grade messaging apps that are convenient but non-compliant, and compliant communication tools that are heavyweight, hard to deploy, and not where the workforce actually communicates. The result is a shadow-IT problem - regulated workforces communicating on consumer apps because the compliant alternatives are friction-laden - that regulators are increasingly unwilling to tolerate.
Verji Tech’s platform takes a structurally different approach: end-to-end encryption combined with an AI-augmented operating layer designed for the actual communication patterns of regulated enterprises. The product surface is closer to where the workforce wants to communicate, while the security and compliance posture is closer to where the regulator needs it to be.
Why operator-led growth equity is the right structure
The category is one where capital-only investment underperforms structurally. Three reasons recur:
- AI inference at the secure boundary. Layering AI on encrypted communication is a hard engineering problem. The inference has to run inside the encrypted boundary to preserve compliance, which constrains the architecture and the model-provider strategy in ways that consumer-grade AI products don’t have to worry about.
- Enterprise procurement hygiene. Selling into regulated enterprise - finance, healthcare, public sector, defence - means clearing security questionnaires, data-residency reviews, and incident-response audits that are non-negotiable. Many otherwise-strong founders stall here because the operating bench to handle procurement at this depth doesn’t exist in-house.
- Cross-border regulatory scaffolding. Norway is the home market; the addressable market is European. Each regulated jurisdiction has its own compliance posture, and the scaffolding to scale across them has to be built once and well.
The engagement structure
The engagement is structured under TGC’s scaleup-catalyst model. A written operating thesis was jointly authored with the Verji Tech founding team before the term sheet. A deployed team of engineers, GTM operators, and governance specialists reports into the Verji Tech leadership structure (CTO, CRO, founder-CEO), not into TGC. Tranche releases are tied to milestones the founder helped define. The operating cadence is monthly operating reviews on top of the standard quarterly board cycle.
What the embedded team is working on
- AI inference at the secure boundary. Embedded engineers from the Gateway Group bench are working on the AI inference architecture that operates inside Verji’s encrypted boundary - specifically the retrieval surface, the agentic workflows, and the evaluation infrastructure required to ship AI features without compromising the compliance posture.
- Enterprise procurement readiness. Embedded GTM operators are working alongside the Verji commercial team on the security-questionnaire, data-residency, and incident-response surface required to close regulated enterprise contracts in finance, healthcare, public sector, and defence.
- Cross-border regulatory scaffolding. Governance specialists are building the regulatory-compliance scaffolding required as Verji Tech scales beyond Norway into the wider Nordic and European regulated-industry markets.
- Named-account enterprise GTM. A structured weekly cadence with the commercial team focuses on the top regulated-industry accounts in the home market and in the next adjacent geographies.
What success looks like
The operating thesis defines named output milestones rather than activity targets: AI features shipped inside the encrypted boundary with measurable productivity uplift for end users; named regulated-industry accounts closed in defined sectors; a regulatory-scaffolding posture mature enough to clear enterprise procurement in the next geography. The TGC engagement is structurally accountable for these outcomes alongside the Verji Tech founding team.
